These Terms and Conditions ("Terms") form a legally binding agreement between you ("User," "you") and QR Spark Ltd ("QR Spark," "we," "us"), a company registered in Hong Kong (Unit 2208, 22/F, Skyline Tower, 39 Wang Kwong Road, Kowloon Bay, Hong Kong). By downloading, installing, or using the QR Spark mobile application ("App") or accessing our website at qrspark.hk ("Site"), you confirm that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you must not use the App or Site.
The App and Site are intended for users aged 13 and above. By using our services, you represent that you are at least 13 years of age. Users under 18 must have the consent of a parent or legal guardian.
Subject to your compliance with these Terms, QR Spark grants you a limited, non-exclusive, non-transferable, revocable licence to download and use the App on your personal device for your own lawful purposes.

All content within the App and Site, including but not limited to code, text, graphics, logos, icons, and software, is the exclusive property of QR Spark Ltd or its licensors and is protected by applicable intellectual property laws.
"QR Code" is a registered trademark of Denso Wave Incorporated. Our use of this term is for descriptive purposes only and does not imply any affiliation with Denso Wave.
You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any content from the App or Site without prior written consent from QR Spark.
Our Pro and Enterprise plans are subject to the following billing terms:

The App is provided on an "as is" and "as available" basis. QR Spark makes no warranties, express or implied, regarding the App's fitness for a particular purpose, accuracy, reliability, or availability.
We do not guarantee that all QR code formats will be recognised in all circumstances. We are not liable for the content of QR codes scanned by users — you are responsible for verifying the safety and legality of any URL or data retrieved via the App.
To the maximum extent permitted by Hong Kong law, QR Spark's total liability to you for any claim arising out of or relating to these Terms or your use of the App shall not exceed the greater of (a) the amount you paid to QR Spark in the 12 months preceding the claim, or (b) HK$500.
QR Spark shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
You agree to indemnify, defend, and hold harmless QR Spark Ltd, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the App, your violation of these Terms, or your violation of any third-party rights.
We may suspend or terminate your access to the App at any time, with or without notice, if we believe you have violated these Terms or if required by law. Upon termination, the licence granted to you immediately ceases. Provisions that by their nature should survive termination (including IP, disclaimers, liability, and governing law sections) will do so.
These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. You agree to submit to the non-exclusive jurisdiction of the courts of Hong Kong for the resolution of any disputes arising out of or relating to these Terms or the App.
We may revise these Terms at any time. Material changes will be notified via an in-app message or email (if provided) at least 14 days before taking effect. Continued use of the App after changes take effect constitutes acceptance of the revised Terms.
